Non-Disclosure Policy

Alpha and Omega Signals Limited – EFFECTIVE ALWAYS

1. Purpose

The purpose of this Non-Disclosure Policy (“Policy”) is to protect confidential and proprietary information belonging to Alpha and Omega Signals Limited (“Company”) from unauthorised use or disclosure.

2. Scope

This Policy applies to all subscribers and any parties who have access to the Company’s confidential information or access to any company material digital or in physical form.

3. Definition of Confidential Information

“Confidential Information” includes, but is not limited to:

  • Business plans, strategies, forecasts, and financial information

  • Customer lists and contact information

  • Supplier and vendor agreements

  • Technical data, research, formulas, and algorithms

  • Software code, system designs, architecture, and related documentation

  • Marketing strategies and materials

  • Any other non-public information designated as confidential or which should reasonably be understood as confidential

4. Obligations of Covered Persons

Covered Persons agree to:

  • Maintain the confidentiality of all Confidential Information

  • Not disclose Confidential Information to any third party without the prior written consent of the Company

  • Use Confidential Information solely for purposes authorized by the Company

  • Take reasonable steps to prevent unauthorized access or use of Confidential Information

  • Promptly report any unauthorised disclosure or misuse of Confidential Information

5. Exclusions

This Policy does not apply to information that:

  • Becomes publicly available through no fault of the Covered Person

  • Is lawfully received from a third party without breach of any obligation

  • Is independently developed without reference to the Company’s Confidential Information

  • Is required to be disclosed by law or regulation, provided the Covered Person notifies the Company promptly and cooperates with efforts to limit the scope of disclosure

6. Duration of Obligation

The obligation to maintain confidentiality shall continue:

  • During the term of the relationship with the Company; and

  • Following termination of that relationship at all times, or as otherwise specified in any relevant agreement

7. Return or Destruction of Materials

Upon termination of engagement with the Company, or upon request, Covered Persons must promptly return or destroy all physical and digital copies of Confidential Information in their possession.

8. Enforcement and Remedies

Any violation of this Policy may result in disciplinary action, including termination of employment or contract, and legal action, including injunctive relief and/or damages.

9. Acknowledgement

All Covered Persons must sign a Non-Disclosure Agreement (NDA) and acknowledge their understanding and acceptance of this Policy as a condition of access to Confidential Information.


By accessing or using the Confidential Information of Alpha and Omega Signals Limited, you acknowledge that you have read, understood, and agree to comply with this Non-Disclosure Policy.
